Memorandum of Incorporation (MOI)

A new Companies Act came into effect in South Africa on the first of May 2011.

According to the act, all companies need to register a Memorandum of Incorporation (MOI) with the Companies and Intellectual Property Commission (CIPC), which will replace the Statute and Articles of Association (Articles) adopted when The Photographic Society of South Africa (PSSA) was registered as a company in 1954.

PSSA was registered as a Section 21 Company, a company not for gain. In accordance with the new act such section 21 companies will register a MOI as a Non Profit Company (NPO).
